Terms of Service

1. Acceptance of Terms

By accessing or using the Omni mobile application, 3D Sanctuary, AI Companion services, Cloud Memory Vault, website (https://www.omni.channel), or related APIs, you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable local, national, and international laws. If you do not agree with any part of these terms, you are prohibited from accessing or using our services.

2. The Omni Service (AI Companion & Sanctuary)

Omni provides interactive 3D virtual spaces, customizable AI companion personas, memory storage, daily journal snapshots, and generative interactive widgets.

  • AI Output Disclaimer: The companion is powered by artificial intelligence and is designed for entertainment, reflection, and personal organization. Omni does not provide medical, mental health, legal, or professional advice.
  • User Lore & Memory: The app stores conversational context, notes, and visual memory assets locally and in encrypted cloud storage to provide contextual continuity.

3. In-App Purchases, Subscriptions & Apple EULA (Guideline 3.1.2)

Certain features and tiers ("Omni Plus") are provided on an auto-renewable subscription basis through Apple In-App Purchase (StoreKit).

  • Billing & Payment: Payment will be charged to your Apple Account at confirmation of purchase.
  • Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
  • Account Charges: Your Apple Account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan (Weekly, Monthly, or Yearly).
  • Managing Subscriptions: You can manage or cancel your subscription at any time in your iOS Device Settings (Settings -> Apple ID -> Subscriptions).
  • Refunds: All refund requests and transaction disputes are managed directly by Apple pursuant to Apple Media Services Terms and Conditions.
  • Apple Standard EULA Incorporation:In addition to these Terms, the standard Apple End User License Agreement (EULA) applies to your use and download of the Omni iOS Application. You can review Apple's Standard EULA here: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/.

4. Rules of Conduct & Content Standards

When using Omni, you agree not to:

  • Generate, upload, or share content that is illegal, sexually explicit (CSAM/NSFW), defamatory, violent, or promoting self-harm.
  • Attempt to reverse engineer, decompile, or compromise the 3D engine, API gateways, or tenant data boundaries.
  • Execute automated scraping, rate-limit abuse, or denial-of-service queries against our infrastructure.
  • Infringe on third-party intellectual property, privacy, or trademark rights.

We reserve the right to suspend accounts, revoke tokens, or restrict access for violations of these conduct standards.

5. Data Ownership & Intellectual Property

  • Your Content: You retain full ownership and intellectual property rights over all personal notes, uploaded images, stickers, and custom prompts created inside Omni.
  • Omni IP: Omnichannel Limited retains all exclusive rights, title, and interest in the Omni platform, 3D visual environments, UI designs, codebases, branding, and proprietary companion systems.

6. Account Deactivation & Data Deletion

You may delete your account and associated memory records at any time directly within the application settings or by contacting our support team. Upon deletion, personal memory indexes and cloud assets will be permanently purged within 30 days.

7. Disclaimer of Warranties

The Omni services, AI features, and 3D spaces are provided on an "AS IS" and "AS AVAILABLE" basis. Omnichannel Limited disclaims all warranties, express or implied, including fitness for a particular purpose, uptime, and uninterrupted availability.

8. Limitation of Liability

To the maximum extent permitted by law, Omnichannel Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Omni application or AI outputs.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
